Tax Transparency

General Principle

PRODEFFI Limited’s Code of Business Conduct and Ethics emphasizes the importance of fulfilling our corporate social responsibilities through compliance with applicable laws, regulations, and international standard, such as the OECD Transfer Pricing Guidelines, and through adherence to ethical business practices consistent with social norms in all our domestic and international operations.

With respect to tax affairs, our directors and employees recognize that contributing to the socioeconomic development of the countries in which we operate is a key social responsibility. Accordingly, we ensure the proper payment of taxes in line with applicable laws and regulations and are committed to conducting our tax affairs with integrity, fairness, and transparency

Tax Risk Management & Governance

The departments responsible for tax affairs are charged with understanding relevant tax laws and practices, identifying potential state and federal compliance issues, and mitigating associated risks. These activities are conducted under the supervision of the Board of Directors, with the Chief Financial Officer (CFO) overseeing execution and reporting. PRODEFFI also engages external tax advisors to ensure the continuous improvement of our tax governance framework.

Tax Planning

In accordance with the principles of this General Policy and in the interest of safeguarding shareholder value, we strive to make appropriate tax payments by applying legitimate tax incentives and eliminating double taxation where applicable. We categorically reject tax avoidance practices and the use of tax havens.

Relationship with Tax Authorities

We aim to foster constructive and transparent relationships with tax authorities by engaging cooperatively and utilizing available mechanisms such as tax rulings and Advance Pricing Arrangements (APAs), to obtain certainty, particularly in relation to international transactions.
